1. Agreement to Terms

By accessing or using ModelChorus (the "Service"), operated by MeetKai Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

ModelChorus is a platform that allows users to compare AI language model responses head-to-head. Users can submit prompts, view responses from different AI models, vote on which response they prefer, and view aggregated rankings based on community votes.

3. Account Registration

Some features of the Service may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating an account and to update your information as necessary.

4. User Content and Prompts

You retain ownership of any prompts, inputs, or other content you submit to the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the Service.

You acknowledge that prompts you submit may be sent to third-party AI model providers to generate responses. You should not submit any sensitive, confidential, or personally identifiable information in your prompts.

5. User Conduct

You agree not to use the Service to:

  • Submit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
  • Attempt to manipulate rankings through fraudulent voting or automated means
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use automated scripts or bots to access or scrape the Service without permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service for any purpose that violates applicable laws or regulations

6. AI-Generated Content Disclaimer

The AI-generated responses displayed on the Service are provided by third-party AI models and are presented "as is" without any warranties. We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content.

AI-generated content should not be relied upon as professional, legal, medical, financial, or other expert advice. You are solely responsible for evaluating and using any information obtained through the Service.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by MeetKai Inc. and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

8. Third-Party Services

The Service integrates with third-party AI model providers (including but not limited to OpenRouter and various AI model developers). Your use of the Service may be subject to additional terms and conditions imposed by these third parties. We are not responsible for the availability, accuracy, or content provided by third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEETKAI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless MeetKai Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by updating the "Last updated" date at the top of these Terms. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

15. Points, Rewards, and Gift Cards

The Service includes a points system ("Points"). You earn Points by participating in the Service, such as by voting on model comparisons, subject to daily limits and other rules we may set from time to time. Points contribute to features such as levels, tiers, badges, and streaks, and may be displayed on your profile and on public leaderboards.

Points have no monetary value. They are not money, credit, or property, and cannot be purchased, sold, transferred, assigned, or exchanged for cash or any other value except as expressly offered by us. We may adjust, recalculate, expire, or revoke Points at any time, including to correct errors or to address fraud, abuse, or violations of these Terms. Any Points associated with your account are forfeited when your account is closed or terminated.

From time to time, we may allow eligible users to redeem Points-based rewards, such as gift cards. The availability, value, type, and terms of any reward are determined by us in our sole discretion and may change or be discontinued at any time. To request a reward, you must have a registered (non-anonymous) account with a verified email address and meet any minimum participation requirements we set. Rewards are not guaranteed, and submitting a redemption request does not create any entitlement to a reward.

Rewards may be fulfilled manually, and we may contact you using the email address associated with your account to arrange fulfillment. We may withhold, delay, or revoke any reward, and disqualify any user, if we reasonably believe there has been fraud, abuse, use of automated means, duplicate or multiple accounts, or any violation of these Terms or applicable law.

Rewards are offered only where permitted by law and are void where prohibited or restricted. You are responsible for complying with all laws that apply to you and for any taxes, fees, or charges arising from a reward. We may impose additional eligibility requirements or request additional information as necessary to comply with applicable law.
